Shadi is the guardian of the tomb that originally housed the seven Millennium Items and carries both the Millennium Scales and Millennium Ankh.
Story spoilers
Shadi is the reincarnation of one of the Pharaoh's six priests from 3,000 years earlier. Because Bakura killed him at least five years before the anime's events, his appearances in the series are actually those of a ghost.
